Item 1.01 Entry into a Material Definitive Agreement.

On September 12, 2005, the Board of Directors of ArQule, Inc. approved an amendment and restatement of the Company’s Amended and Restated 1994 Equity Incentive Plan (the "Equity Plan"). The changes to the Equity Plan eliminate the provision permitting loans in connection with awards under the Equity Plan and clarify that options granted under the Equity Plan may not be repriced. A copy of the Equity Plan, as amended and restated, is filed herewith as Exhibit 99.1.
