Item 2.01 Completion of Acquisition or Disposition of Assets.

On July 8, 2005, Anixter International Inc. (the "Company") declared its tender offer to purchase the shares of Infast Group plc, ("Infast"), a U.K.-based distributor of fasteners and other "C" class inventory components to OEMs (the "Offer"), "wholly unconditional." The cash offer price of 34 pence per share (approximately $72 million) for the shares was subject, among other things, to the Company receiving 90% of the stock through the tender offer, which conditions were met. The Company has replaced the Infast directors with its own appointees effective July 8, 2005.
