Item 1.01

Entry into a Material Definitive Agreement

On February 20, 2019, Parsley Energy, Inc. and Parsley Energy, LLC (“Parsley LLC”) entered into the Third Amended and Restated Limited Liability Company Agreement of Parsley LLC (the “Third A&R Parsley LLC Agreement”). The Third A&R Parsley LLC Agreement amended and restated the Second Amended and Restated LLC Agreement of Parsley LLC, dated as of April 20, 2017, to, among other things, provide for the certification of Parsley LLC units in certain circumstances and update certain tax provisions.

The foregoing description of the Third A&R Parsley LLC Agreement is qualified in its entirety by reference to the Third A&R Parsley LLC Agreement, a copy of which is attached to this Current Report on Form 8-K as Exhibit 10.1 and is incorporated herein by reference.
