The Reporting Person is a co-trustee of the Martin Jaffe Revocable Trust and is deemed to share beneficial ownership with Sharon Jaffe, the other trustee of the Martin Jaffe Revocable Trust, of 541,931 shares held by such trust. The ownership percentages reported are based on 8,345,635 shares of outstanding Class A Common Stock, as reported in the Issuers Form 10-Q filed on November 1, 2018.
The Reporting Person hereby disclaims any beneficial ownership of any shares in excess of his actual beneficial ownership thereof.
