Item 3.01. | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing |
On July 12, 2013, U.S. Auto Parts Network, Inc. (the Company) received a letter from The Nasdaq Stock Market LLC (Nasdaq), which was in response to the Companys notice to Nasdaq on July 9, 2013 that the Companys Board of Directors was no longer comprised of a majority of independent directors as required by Nasdaq Listing Rule 5605(b)(1) (the Original Notice). The Original Notice was reported by the Company in a Current Report on Form 8-K filed on July 10, 2013.
The Company intends to regain compliance with the requirement that its Board of Directors have a majority of independent directors prior to the expiration of the cure period provided pursuant to Nasdaq Listing Rule 5605(b)(1)(A). The Company is currently conducting a director search in the exercise of due care for a new candidate as soon as practicable.
