ITEM 8.01. Other Events.
On April 23, 2012, Ennis, Inc. (the “Company”) issued a press release announcing that its Board of Directors had authorized an additional $5,000,000 be allocated to the Company’s stock repurchase program. Under the previously approved repurchase program, share purchases may be made from time to time in the open market or through privately negotiated transactions depending on market conditions, share price, trading volume and other factors, and such purchases, if any, will be made in accordance with applicable insider trading and other securities laws and regulations. These repurchases may be commenced or suspended at any time or from time to time without prior notice. A copy of the press release dated April 23, 2012, is attached and fled herewith as Exhibit 99.1.
