ITEM 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On February 23, 2011, Nobility Homes, Inc. (the “Company”) received a letter from The NASDAQ Stock Market stating that the Company is not in compliance with NASDAQ Listing Rule 5250(c)(1) because the Company did not timely file its Annual Report on Form 10-K for the period ended November 6, 2010 (the “Form 10-K”) with the Securities and Exchange Commission (the “SEC”). The notification of non-compliance has no immediate effect on the listing or trading of the Company’s common stock on the NASDAQ Global Market.

As previously reported by the Company in its Form 12b-25 filed with the SEC on February 8, 2011, the filing of the Form 10-K was delayed in order for the Company to obtain additional financial information from a manufactured home community, Walden Woods, in which it has invested to determine whether the Company’s investment needed to be impaired and, if so, the magnitude of such impairment.

The Company has until April 25, 2011 to submit a plan to regain compliance with respect to its delinquent periodic report and, if NASDAQ accepts the Company’s plan, it can grant an exception of up to 180 calendar days from the Form 10-K due date, or until August 22, 2011, to regain compliance.

The Company issued a press release on March 1, 2011, disclosing receipt of the February 23, 2011 letter from NASDAQ. A copy of the press release is attached as Exhibit 99.1.
