Item 8.01 Other Events.

On September 15, 2010, Blackstone Holdings Finance Co. L.L.C., an indirect subsidiary of The Blackstone Group L.P., priced the previously announced offering of $400,000,000 aggregate principal amount of its 5.875% Senior Notes due 2021. The notes are to be fully and unconditionally guaranteed by The Blackstone Group L.P., Blackstone Holdings I L.P., Blackstone Holdings II L.P., Blackstone Holdings III L.P. and Blackstone Holdings IV L.P. Blackstone intends to use the net proceeds from the sale of the notes for general corporate purposes.

The notes were offered pursuant to Rule 144A and Regulation S under the Securities Act of 1933. The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
