Results of Operations and Financial Condition.

On July 23, 2009, First Commonwealth Financial Corporation issued a press release announcing that it had rescheduled its earnings release for the second quarter of 2009 in order to complete its analysis of the allowance for loan losses as of June 30, 2009. A copy of this press release is attached as Exhibit 99.1 and is incorporated by reference into this report.
