Item 3.02 Unregistered Sales of Equity Securities

SBA Communications Corporation (the “Company”) announced that in two privately negotiated transactions, on December 16, 2008 and February 20, 2009, it issued 672,914 and 618,056 shares, respectively of its Class A common stock, or 1.1% of its outstanding, in the aggregate. The shares were issued in exchange for an aggregate of $25,797,000 in principal amount of its 0.375% Convertible Senior Notes due 2010 (the “0.375% Convertible Notes”).

The shares were issued in reliance upon the exemption from registration provided in Section 3(a)(9) of the Securities Act of 1933, as amended.
