Item 5.02 (e)        Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 6, 2008, the company’s independent directors approved the recommendation of the Compensation Committee to increase the annual base salary of president and chief executive officer Walter W. Turner to $640,000 from $540,000 effective April 1, 2008.
