(b) On November 30, 2006, Carlton J. Eibl tendered his resignation as a director of Maxwell Technologies, Inc. (the “Company”), effective immediately. Mr. Eibl’s resignation is not as a result of any disputes or disagreements relating to the Company’s operations, policies or practices.
