On July 21, 2008, the registrant issued a press release announcing the closing
of the Patent Purchase Agreement (PPA) for the sale of selected patents to Karo
Millennium J.P., L.L.C. as previously announced on May 28, 2008. A copy of the
press release is annexed hereto as Exhibit A and is incorporated herein by
reference.
