Item 7.01
Regulation FD Disclosure.
 
In connection with J. C. Penney Company, Inc.’s (the “Company’s”) previously announced proposed refinancing of its senior secured real estate term loan, the Company intends to make available to potential lenders certain additional information regarding the “dark” appraised value of the real estate assets that will be included as collateral for the refinancing transaction. The aggregate “dark” appraised value, assuming vacant possession, of such assets was approximately $1.827 billion as of June 1, 2016. Such assets include 285 JCPenney department stores with a “dark” value of approximately $1.555 billion and nine distribution centers with a “dark” value of approximately $272 million.
The information being furnished in this Item 7.01 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.
