Item 2.01 Completion of Acquisition or Disposition of Assets.

 

As previously announced, on March 1, 2019, a wholly-owned subsidiary of the Company (i) was named the successful bidder in the bankruptcy auction to acquire certain intellectual property and related assets (the “Gymboree Assets”) of Gymboree Group, Inc. and related entities; and (ii) entered into an asset purchase agreement pursuant to which the Company’s wholly-owned subsidiary agreed to acquire the Gymboree Assets for a purchase price of $76 million in cash (the “Sale Transaction”). The Gymboree Assets include the worldwide rights to the names “Gymboree” and “Crazy 8” and other intellectual property, including trademarks, domain names, design rights, and customer databases. The Sale Transaction was approved by the United States Bankruptcy Court for the Eastern District of Virginia on March 4, 2019 subject to standard closing conditions. On April 4, 2019, the Company completed the acquisition of the Gymboree Assets.
