Pursuant to that certain Stock Purchase Agreement, dated as of July 25, 2013 (the “U.S. Purchase Agreement”), by and among InnerWorkings, Inc., a Delaware corporation, and Tomas Baca, Filip Zak and Ed Halla (the “U.S. selling stockholders”), we purchased all of the outstanding shares of Eyelevel, Inc., an Oregon corporation (“Eyelevel U.S.”), in exchange for cash and shares of our common stock. The U.S. selling stockholders are the recipients of common stock previously issued, or to be issued, by us in connection with the U.S. Purchase Agreement. Pursuant to that certain Stock Purchase Agreement, dated as of July 25, 2013 (the “International Purchase Agreement” and together with the U.S. Purchase Agreement, the “Purchase Agreements”), by and among InnerWorkings, Inc. and Tomas Baca and Filip Zak (the “International selling stockholders”), we purchased all of the outstanding shares of capital stock or other equity interests of EYELEVEL s.r.o., a Czech Republic limited liability company (“Eyelevel CZ”), EYELEVEL Solutions Ltd., a United Kingdom limited company (“Eyelevel UK”), EYELEVEL, LLC, a Russian limited liability company (“Eyelevel Russia”), EYELEVEL RETAIL SOLUTIONS CONSULTORIA LTDA, a Brazilian limited liability company (“Eyelevel Brazil”), Taizhou EYELEVEL Store Fixtures Co., Ltd., a Chinese limited liability company (“Eyelevel China”), EYELEVEL Solution Pty Ltd CAN 158 690 432, an Australian proprietary limited company (“Eyelevel Australia”), and EYELEVEL Limited, a Hong Kong company (“Eyelevel Hong Kong,” and together with Eyelevel CZ, Eyelevel UK, Eyelevel Russia, Eyelevel Brazil, Eyelevel China and Eyelevel Australia, the “International Companies” and together with Eyelevel U.S., the “Eyelevel Companies”). The International selling stockholders are the recipients of common stock previously issued, or to be issued, by us in connection with the International Purchase Agreement.

 

We refer to the U.S. selling stockholders and the International selling stockholders herein collectively as the “selling stockholders.” This prospectus registers up to 4,838,210 shares of common stock on behalf of the selling stockholders, consisting of (i) 666,671 shares of common stock previously issued to the selling stockholders and (ii) up to 4,171,539 shares of common stock that may be issued to the selling stockholders if certain financial milestones are achieved by the Eyelevel Companies during certain measurement periods described herein.

On September 4, 2014, 214,579 shares of our common stock were issued to the U.S. selling stockholders, as the applicable financial milestone was achieved by the Eyelevel Companies for the measurement period from July 1, 2013 to June 30, 2014 (the “U.S. Initial Earn-Out”). ISSUANCE OF COMMON STOCK TO SELLING STOCKHOLDERS

 

The Aggregate Consideration payable to the selling stockholders pursuant to the Purchase Agreements is an amount equal to up to $54,000,000. The Aggregate Consideration is comprised of the following:

 

·With respect to the U.S. Purchase Agreement, (i) $4,000,000 in cash paid on July 25, 2013, subject to certain working capital adjustments, and (ii) up to $13,833,333 in shares of our common stock pursuant to the U.S. Aggregate Earn-Out. On September 4, 2014, 214,579 shares of our common stock were issued to the U.S. selling stockholders pursuant to the U.S. Initial Earn-Out. Up to an additional 1,390,513 shares may be issued to the U.S. selling stockholders pursuant to the U.S. Remaining Earn-Out, as described below.

 

·With respect to the International Purchase Agreement, (i) $7,900,000 in cash paid on July 25, 2013, subject to certain working capital adjustments, and (ii) up to $27,666,667 in shares of our common stock pursuant to the International Aggregate Earn-Out. On September 4, 2014, 452,092 shares of our common stock were issued to the International selling stockholders pursuant to the International Initial Earn-Out. Up to an additional 2,781,026 shares may be issued to the International selling stockholders pursuant to the International Remaining Earn-Out, as described below.

 

Pursuant to the U.S. Initial Earn-Out, on September 4, 2014, 214,579 shares of our common stock were issued to the U.S. selling stockholders, as the applicable financial milestone was reached for the measurement period from July 1, 2013 to June 30, 2014 (the “First Measurement Period”). Pursuant to the U.S. Remaining Earn-Out, the U.S. selling stockholders will be eligible to receive earn-out payments having an aggregate maximum value of $11,888,889 based on certain financial objectives. These objectives are based on the earnings of the Eyelevel Companies excluding interest, taxes, depreciation and amortization (“EBITDA”). The specific terms of the U.S. Remaining Earn-Out are as follows:

 

·For the period beginning on July 1, 2014 and ending on June 30, 2015 (the “Second Measurement Period”), EBITDA must equal or exceed $5,400,000 in order for the U.S. selling stockholders to be entitled to receive an amount equal to $1,944,444; and

 

·For the period beginning on July 1, 2015 and ending on June 30, 2016 (the “Third Measurement Period”), EBITDA must equal or exceed $5,600,000 in order for the U.S. selling stockholders to be entitled to receive an amount equal to $1,944,444.

 

In each measurement period, if EBITDA is less than the target EBITDA, but equals or exceeds 85% of the target EBITDA, the U.S. selling stockholders will be entitled to receive an amount equal to the sum of: (A) $486,111 and (B) $1,458,333 times a fraction, (i) the numerator of which is the positive difference between (x) the amount of EBITDA for such measurement period and (y) an amount equal to 85% of the EBITDA target for such measurement period, and (ii) the denominator of which is 15% of the EBITDA target for such measurement period.

 

To the extent that EBITDA for the measurement periods described above exceeds the target EBITDA (such excess, the “Excess EBITDA”), then such Excess EBITDA will be applied, without duplication, to the calculation of EBITDA for one or more prior measurement periods to the extent that EBITDA for any such prior measurement period is less than the target EBITDA for such measurement period, and the amount of the earn-out payment with respect to such measurement period will be recalculated accordingly.

 

In addition to the earn-out payments described in the bullet points above, the U.S. Remaining Earn-Out includes an additional payment, to be paid as follows:

 

·If the cumulative EBITDA for the Earn-Out Period equals or exceeds $40,000,000, the U.S. selling stockholders are entitled to receive an amount equal to $8,000,000.

·If the cumulative EBITDA for the Earn-Out Period is less than $40,000,000, but equals or exceeds $30,000,000, the U.S. selling stockholders are entitled to receive an amount equal to the sum of: (A) $4,000,000 and (B) $4,000,000 times a fraction (i) the numerator of which is the positive difference between (x) the cumulative EBITDA for the Earn-Out Period and (y) $30,000,000, and (ii) the denominator of which is $10,000,000.

 

All payments in connection with the U.S. Remaining Earn-Out will be paid in shares of our common stock based on the average of the daily closing price per share of our common stock on the NASDAQ Global Select Market for the five trading days immediately preceding the actual date of any earn-out payment.

 

Pursuant to the International Initial Earn-Out, on September 4, 2014, 452,092 shares of our common stock were issued to the International selling stockholders, as the applicable financial milestone was reached for the First Measurement Period. Pursuant to the International Remaining Earn-Out, the International selling stockholders will be eligible to receive earn-out payments having an aggregate maximum value of $23,777,777 based on certain financial objectives. These objectives are based on the EBITDA of the Eyelevel Companies. The specific terms of the International Remaining Earn-Out are as follows:

 

·For the Second Measurement Period, EBITDA must equal or exceed $5,400,000 in order for the International selling stockholders to be entitled to receive an amount equal to $3,888,889; and

 

·For the Third Measurement Period, EBITDA must equal or exceed $5,600,000 in order for the International selling stockholders to be entitled to receive an amount equal to $3,888,889.

 

In each measurement period, if EBITDA is less than the target EBITDA, but equals or exceeds 85% of the target EBITDA, the International selling stockholders will be entitled to receive an amount equal to the sum of: (A) $972,222 and (B) $2,916,667 times a fraction, (i) the numerator of which is the positive difference between (x) the amount of EBITDA for such measurement period and (y) an amount equal to 85% of the EBITDA target for such measurement period, and (ii) the denominator of which is 15% of the EBITDA target for such measurement period.

 

To the extent that there is Excess EBITDA for the measurement periods described above, then such Excess EBITDA will be applied, without duplication, to the calculation of EBITDA for one or more prior measurement periods to the extent that EBITDA for any such prior measurement period is less than the target EBITDA for such measurement period, and the amount of the earn-out payment with respect to such measurement period will be recalculated accordingly.

 

In addition to the earn-out payments described in the bullet points above, the International Remaining Earn-Out includes an additional payment, to be paid as follows:

 

·If the cumulative EBITDA for the Earn-Out Period equals or exceeds $40,000,000, the International selling stockholders are entitled to receive an amount equal to $16,000,000.

 

·If the cumulative EBITDA for the Earn-Out Period is less than $40,000,000, but equals or exceeds $30,000,000, the International selling stockholders are entitled to receive an amount equal to the sum of: (A) $8,000,000 and (B) $8,000,000 multiplied by a fraction (i) the numerator of which is the positive difference between (x) the cumulative EBITDA for the Earn-Out Period and (y) $30,000,000, and (ii) the denominator of which is $10,000,000.

 

All payments in connection with the International Remaining Earn-Out will be paid in shares of our common stock based on the average of the daily closing price per share of our common stock on the NASDAQ Global Select Market for the five trading days immediately preceding the actual date of any earn-out payment.
