(1) Pursuant to a $2,000,000 Convertible Promissory Note and Loan Agreement dated May 16, 2011 between Enerfund, LLC (a company controlled by Mike Zoi) and the Company, Enerfund, LLC was granted the right to convert the outstanding principal at any time into shares of common stock of the Company at a conversion price of $0.11 per share (which was the closing stock price on May 13, 2011, the last full trading day before the Convertible Promissory Note and loan Agreement was entered into).
