Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)           On October 27, 2010, Adam J. Gutstein resigned from the board of directors of InnerWorkings, Inc. (the “Registrant”), effective November 2, 2010.  Mr. Gutstein submitted his resignation as a result of an expected change in his principal employment, in accordance with the corporate governance principles of his anticipated new employer.  There are no disagreements between Mr. Gutstein and the Registrant on any matter relating to the Registrant’s operations, policies or practices.
