2.02 Results
of Operations and Financial Condition.
On May
20, 2010, The Children’s Place Retail Stores, Inc. (the “Company”) issued a
press release containing the Company's financial results for the first quarter
of the fiscal year ended January 29, 2011 (“Fiscal 2010”), updating its
estimated range of earnings per diluted share from continuing operations for
Fiscal 2010 and providing a preliminary estimated range of loss per share from
continuing operations for the second quarter of Fiscal 2010. A copy
of the press release is being furnished as Exhibit 99.1 to this Current Report
on Form 8-K.
