Item 5.03.  Amendments to Articles of Incorporation of ByLaws; Change in Fiscal Year
 
On January 8, 2010, the Board of Directors of NF Energy Saving Corporation (the “Company”) amended Article V, Section 1 of the Company’s Bylaws regarding stock certificates.  The Bylaws previously required that each stockholder was entitled to a certificate, signed by certain officers of the Company, certifying the number of shares owned by such stockholder. The amendment to Article V, Section 1 provides that each stockholder is entitled to a certificate, signed by certain officers of the Company, certifying the number of shares owned by such stockholder, unless the Board of Directors provides by resolution that some or all of any or all classes or series of stock shall be uncertificated shares. A copy of the text of the amendment is attached as Exhibit 3.1 and is incorporated herein by reference.
