Other Events.

On October 10, 2008, Modine Manufacturing Company (the “Company” or “Modine”) issued a press release announcing an agreement pursuant to which Modine will license certain Modine-developed thermal management technology for stationary fuel cells to Bloom Energy.  Attached to this Current Report on Form 8-K as Exhibit 99.1 is a copy of the Company’s press release in connection with the announcement.
