Item 5.02.                                     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(d) On June 27, 2018, the Board of Directors (the “Board”) of California Water Service Group (the “Company”) voted to elect Shelly M. Esque, to the Board, effective June 27, 2018, to fill a vacancy created by the increase in the size of the Board.

 

There are no arrangements or understandings between Ms. Esque and any other person pursuant to which Ms. Esque was selected as a director. There is no information that is required to be disclosed with respect to Ms. Esque pursuant to Item 404(a) of Regulation S-K.

 

On June 27, 2018, the Company issued a press release announcing the election of Ms. Esque to the Board. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated into this Item 5.02 by this reference.

 

Item 8.01.             Other Events.

 

On June 27, 2018, the Board voted to increase the size of the Board from nine to ten directors, effective June 27, 2018.
