EXPLANATORY NOTE AND INCORPORATION BY REFERENCE

 

This Registration Statement registers additional securities of the same class as other securities for which a registration statement filed on Form S-8 relating to ArQule, Inc.’s (the “Company”) Amended and Restated 1994 Equity Incentive Plan (the “Plan”) is already effective.  In accordance with General Instruction E to Form S-8, the contents the Company’s registration statement on Form S-8 (File No. 333-161115) filed with the Commission on August 6, 2009 relating to registration of 1,400,000 shares of the Company’s common stock par value $0.01 per share (the “Common Stock”) authorized for issuance under the Plan is incorporated by reference in its entirety in this Registration Statement.

 

This Registration Statement provides for the registration of an additional 1,500,000 shares of Common Stock authorized for issuance under the Plan.
