Item 5.02       Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

         On May 11, 2005, Michael J. Bradley resigned as a member of the Managing Board of Atlas Pipeline Partners GP, LLC, our general partner. Mr. Bradley was recently elected to the boards of directors of our affiliates, Resource America, Inc. and The Bancorp, Inc.
