Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On March 30, 2010, we announced that Terry Bateman resigned his position as the Chief Executive Officer of NTN Buzztime, Inc. effective March 31, 2010.  Mr. Bateman will remain active on our Board of Directors.
 
In addition, we have reached an agreement in principle regarding the terms of employment with a proposed candidate to replace Mr. Bateman as our Chief Executive Officer.  We expect to reach formal agreement with this candidate regarding the final terms and conditions of his employment within the next five to seven business days and to announce his hiring at that time.
