Item 2.02

Results of Operations and Financial Condition.


On May 8, 2006, EGL, Inc. (the “Company”) issued a press release announcing its financial results for the first quarter ended March 31, 2006. A copy of the Company’s press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.


In addition to financial results determined in accordance with generally accepted accounting principles (GAAP), the attached press release includes information on the Company’s “free cash flow” for the quarter ended March 31, 2006, which is defined as net cash flow from operating activities less capital expenditures.  Free cash flow is a non-GAAP measure as defined in Regulation G of the Securities and Exchange Commission.  The following is a reconciliation of free cash flow for the quarter ended March 31, 2006 to net cash flow from operating activities for the same period, which management believes is the most directly comparable GAAP measures:

Management believes that free cash flow provides useful information on the Company’s ability to fund continued growth with internally generated funds.  Free cash flow should be considered in addition to, not as a substitute for, or superior to, net cash flow from operating activities or other measures of financial performance prepared in accordance with GAAP as more fully discussed in the Company’s financial statements and filings with the Securities and Exchange Commission.
