Item 5.07. Submission of Matters to a Vote of Security Holders

As previously disclosed in the original Form 8-K, in a non-binding advisory vote on the frequency of future say on pay votes held at the 2017 Annual Meeting, a majority of shares voted for an annual say on pay vote.  In accordance with the results of the shareholder vote on the frequency of the say on pay vote, the Company will hold future say on pay votes every year until the next advisory vote on the frequency of say on pay votes, which is expected to be held no later than its 2023 Annual Meeting of Shareholders.
