This option vests on a pro-rata basis over a three year term, with the first one third having vested on July 30, 2010 and the second two-thirds (100,000 shares) on July 30, 2011 and the remaining shares vest July 30, 2012. This transaction was exempt from Section 16(b) pursuant to Rule 16b-3(3). |
